當然(ran)討(tao)(tao)論股(gu)權激(ji)勵時點的(de)問題,就需要結合討(tao)(tao)論股(gu)權激(ji)勵的(de)作價問題。這就回到我們這篇文章的(de)主題。

我們(men)來(lai)想(xiang)(xiang)一(yi)想(xiang)(xiang),如果在企(qi)(qi)業(ye)(ye)發(fa)展(zhan)(zhan)的早期,咱們(men)的股(gu)權激勵(li)(li)有(you)用嗎?在企(qi)(qi)業(ye)(ye)的早期階段,相(xiang)對投入的比較(jiao)多,員工到(dao)單位來(lai)工作的時間(jian)不(bu)長(chang),穩(wen)定性(xing)相(xiang)對也(ye)不(bu)夠,產(chan)品不(bu)夠成(cheng)熟,市(shi)場(chang)不(bu)夠成(cheng)熟,企(qi)(qi)業(ye)(ye)的發(fa)展(zhan)(zhan)方向可能都(dou)不(bu)明朗,這(zhe)個(ge)時候進行股(gu)權激勵(li)(li),能達到(dao)理想(xiang)(xiang)效果嗎?永(yong)姐覺(jue)得比較(jiao)難。勇姐曾經服務過一(yi)個(ge)企(qi)(qi)業(ye)(ye),企(qi)(qi)業(ye)(ye)還(huan)處(chu)在野蠻生長(chang)的階段,老板(ban)也(ye)有(you)想(xiang)(xiang)法(fa),開始做財(cai)務規范了,但是企(qi)(qi)業(ye)(ye)的財(cai)務規范還(huan)沒(mei)有(you)做完,老板(ban)就積(ji)極的要上股(gu)權激勵(li)(li),勇姐攔都(dou)攔不(bu)住,股(gu)權激勵(li)(li)的項?就讓(rang)老板(ban)在生拉硬拽當中去做了,結果可想(xiang)(xiang)而知,不(bu)到(dao)一(yi)年(nian)時間(jian),企(qi)(qi)業(ye)(ye)的主要骨干全部都(dou)走了,后面企(qi)(qi)業(ye)(ye)差(cha)不(bu)多就咽咽一(yi)息了。
好,那么(me)我(wo)們(men)就(jiu)有(you)同學說,勇(yong)(yong)姐,那我(wo)們(men)在企(qi)業(ye)(ye)(ye)很成(cheng)熟的(de)時(shi)候做(zuo)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)合適嗎(ma)?勇(yong)(yong)姐說:不(bu)一定(ding)(ding)。很巧,勇(yong)(yong)姐也(ye)經歷過這樣的(de)一個企(qi)業(ye)(ye)(ye),也(ye)是(shi)勇(yong)(yong)姐服務的(de)一個財(cai)務顧(gu)問企(qi)業(ye)(ye)(ye),有(you)一天老(lao)板急匆匆的(de)給勇(yong)(yong)姐打電話說,公(gong)(gong)司(si)要進行(xing)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li),給員工(gong)持股(gu)(gu)。這個公(gong)(gong)司(si)成(cheng)立時(shi)間比(bi)較(jiao)(jiao)長,是(shi)比(bi)較(jiao)(jiao)傳統的(de)工(gong)程行(xing)業(ye)(ye)(ye),幾年來(lai)(lai),技術穩(wen)定(ding)(ding),(對做(zuo)工(gong)程講技術也(ye)是(shi)很客氣的(de)啦)人員穩(wen)定(ding)(ding),銷售量穩(wen)定(ding)(ding),就(jiu)未來(lai)(lai)的(de)發展也(ye)是(shi)穩(wen)定(ding)(ding)的(de)。勇(yong)(yong)姐也(ye)非常反對,但是(shi)老(lao)板覺得股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)就(jiu)是(shi)好(大家(jia)知道財(cai)務顧(gu)問只(zhi)有(you)建議(yi)權(quan)(quan),沒有(you)決策權(quan)(quan)),進行(xing)了(le)(le)一系列的(de)股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)的(de)操作。兩(liang)年后(hou),股(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)時(shi)收到的(de)資金出去了(le)(le),股(gu)(gu)份又變更回來(lai)(lai)了(le)(le)。
說(shuo)到(dao)這里啊,我們可能有(you)同(tong)學會說(shuo),勇姐舉的(de)(de)(de)例子就是(shi)兩(liang)個特(te)殊(shu)的(de)(de)(de)例子。勇姐想說(shuo)真不(bu)是(shi)特(te)殊(shu)的(de)(de)(de),它們代表了(le)(le)很大(da)的(de)(de)(de)兩(liang)類(lei)企業。那他(ta)們為什么失敗了(le)(le)呢?除了(le)(le)他(ta)們企業所處(chu)的(de)(de)(de)階段不(bu)同(tong),還(huan)與他(ta)們進行股權激勵時有(you)沒(mei)有(you)向員工收(shou)取股權對價(jia)(jia)你有(you)很大(da)關系。第1家企業沒(mei)有(you)收(shou)取員工的(de)(de)(de)資金(jin),也就是(shi)購買(mai)股價(jia)(jia)款(kuan)。第2家企業向員工收(shou)取了(le)(le)股價(jia)(jia)款(kuan)。
這里就又引申(shen)出一(yi)個問題:我(wo)們(men)進行股(gu)權激勵的時候,要不要向(xiang)員(yuan)工收(shou)取股(gu)權價款呢(ni)?
你別說(shuo),就這(zhe)個問(wen)題啊,勇姐還采(cai)訪了(le)不少的(de)員工(gong)和老(lao)板。作為員工(gong),大多數都(dou)是這(zhe)樣說(shuo):讓我(wo)掏錢買?我(wo)腦子沒有壞(huai)吧?我(wo)拿(na)了(le)工(gong)資供(gong)了(le)房貸,車貸,娃娃上學,我(wo)已經月(yue)光光了(le),你還讓我(wo)掏錢買股權,得,我(wo)走(zou)人。作為老(lao)板怎么說(shuo)的(de)呢?幾(ji)乎是100%的(de)老(lao)板回答都(dou)這(zhe)樣:當然要(yao)收錢啊,不收錢他不會(hui)(hui)珍(zhen)惜(xi)的(de),誰會(hui)(hui)珍(zhen)惜(xi)白白得到的(de)東西?
好了,問題(ti)討論到這(zhe)(zhe)里,大家應(ying)該看出(chu)(chu)矛盾(dun)在(zai)(zai)哪兒(er)了:作(zuo)為(wei)員(yuan)工(gong)(gong)(gong)(gong)(gong),希望公司送他(ta)股(gu)權(quan),作(zuo)為(wei)企業(ye)老(lao)板(ban),想在(zai)(zai)給(gei)股(gu)權(quan)的(de)時(shi)(shi)候,多多少少讓(rang)(rang)員(yuan)工(gong)(gong)(gong)(gong)(gong)付出(chu)(chu)一(yi)(yi)些代價員(yuan)工(gong)(gong)(gong)(gong)(gong)才(cai)會珍惜。我(wo)(wo)們(men)(men)在(zai)(zai)這(zhe)(zhe)矛盾(dun)當(dang)中(zhong)是(shi)(shi)(shi)(shi)不(bu)是(shi)(shi)(shi)(shi)能總結(jie)出(chu)(chu)來(lai)(lai)(lai):股(gu)權(quan)激(ji)(ji)勵的(de)時(shi)(shi)點(dian)(dian)(dian)很重(zhong)要(yao)(yao)。找一(yi)(yi)個(ge)員(yuan)工(gong)(gong)(gong)(gong)(gong)能出(chu)(chu)得起錢,老(lao)板(ban)也愿意便宜(yi)點(dian)(dian)(dian)賣給(gei)員(yuan)工(gong)(gong)(gong)(gong)(gong)的(de)時(shi)(shi)點(dian)(dian)(dian),是(shi)(shi)(shi)(shi)不(bu)是(shi)(shi)(shi)(shi)就(jiu)(jiu)能達(da)到平衡呢?那(nei)這(zhe)(zhe)個(ge)平衡點(dian)(dian)(dian)在(zai)(zai)哪?我(wo)(wo)們(men)(men)再(zai)(zai)回頭來(lai)(lai)(lai)看:員(yuan)工(gong)(gong)(gong)(gong)(gong)進(jin)到一(yi)(yi)家企業(ye),首先有一(yi)(yi)個(ge)安定的(de)過程(cheng),第一(yi)(yi)就(jiu)(jiu)是(shi)(shi)(shi)(shi)他(ta)愿意在(zai)(zai)這(zhe)(zhe)里干,第二就(jiu)(jiu)是(shi)(shi)(shi)(shi)他(ta)愿意在(zai)(zai)這(zhe)(zhe)里長期干。在(zai)(zai)這(zhe)(zhe)個(ge)過程(cheng)當(dang)中(zhong),他(ta)要(yao)(yao)供房(fang)子(zi),要(yao)(yao)供車子(zi),要(yao)(yao)養娃。如果(guo)企業(ye)給(gei)到他(ta)的(de)收入(ru),僅(jin)僅(jin)能夠支付他(ta)這(zhe)(zhe)些開支,那(nei)員(yuan)工(gong)(gong)(gong)(gong)(gong)是(shi)(shi)(shi)(shi)辛苦的(de),也是(shi)(shi)(shi)(shi)短視的(de)。我(wo)(wo)們(men)(men)再(zai)(zai)來(lai)(lai)(lai)看企業(ye),初創(chuang)(chuang)型(xing)(xing)的(de)企業(ye)給(gei)到員(yuan)工(gong)(gong)(gong)(gong)(gong)的(de)工(gong)(gong)(gong)(gong)(gong)資,基本都是(shi)(shi)(shi)(shi)再(zai)(zai)少一(yi)(yi)點(dian)(dian)(dian)就(jiu)(jiu)不(bu)行(xing)的(de)工(gong)(gong)(gong)(gong)(gong)資,也就(jiu)(jiu)是(shi)(shi)(shi)(shi)再(zai)(zai)少一(yi)(yi)點(dian)(dian)(dian)員(yuan)工(gong)(gong)(gong)(gong)(gong)就(jiu)(jiu)會跑(pao)路的(de)工(gong)(gong)(gong)(gong)(gong)資。我(wo)(wo)們(men)(men)這(zhe)(zhe)里也不(bu)討論含著金(jin)鑰匙成立的(de)企業(ye)哈(ha)。好了,老(lao)板(ban)就(jiu)(jiu)說:我(wo)(wo)工(gong)(gong)(gong)(gong)(gong)資少呀所以(yi)我(wo)(wo)給(gei)你點(dian)(dian)(dian)股(gu)權(quan)。但員(yuan)工(gong)(gong)(gong)(gong)(gong)心理非常清楚:給(gei)我(wo)(wo)股(gu)權(quan)可以(yi),讓(rang)(rang)我(wo)(wo)掏錢買,不(bu)行(xing)。所以(yi)我(wo)(wo)們(men)(men)得出(chu)(chu)結(jie)論:初創(chuang)(chuang)型(xing)(xing)的(de)企業(ye)做股(gu)權(quan)激(ji)(ji)勵不(bu)是(shi)(shi)(shi)(shi)很合適,解決不(bu)了員(yuan)工(gong)(gong)(gong)(gong)(gong)與老(lao)板(ban)之間的(de)矛盾(dun)。
企業(ye)(ye)在向前發(fa)展(zhan)的(de)過程當中,產品(pin)不斷的(de)成熟,市場不斷的(de)擴大,收入(ru)趨(qu)于增長(chang)。員(yuan)(yuan)工(gong)(gong)的(de)工(gong)(gong)資也(ye)有所(suo)增長(chang)了。這(zhe)個時(shi)候,老(lao)板看(kan)(kan)到了團(tuan)(tuan)隊的(de)力量,看(kan)(kan)到了企業(ye)(ye)發(fa)展(zhan)的(de)方向,這(zhe)個時(shi)候進(jin)行股權(quan)(quan)激(ji)(ji)勵,可以半買半送,員(yuan)(yuan)工(gong)(gong)也(ye)多少有點(dian)積蓄了,也(ye)就愿意掏一部分錢來買了。所(suo)以通俗來講,企業(ye)(ye)進(jin)行股權(quan)(quan)激(ji)(ji)勵的(de)時(shi)點(dian)應(ying)該是企業(ye)(ye)正(zheng)向上發(fa)展(zhan)的(de)時(shi)點(dian),企業(ye)(ye)能夠足額的(de)支(zhi)付員(yuan)(yuan)工(gong)(gong)的(de)工(gong)(gong)資,讓其(qi)維持(chi)日(ri)常開支(zhi),同(tong)時(shi)企業(ye)(ye)需(xu)要抱團(tuan)(tuan),穩定(ding)的(de)向前發(fa)展(zhan),這(zhe)個時(shi)候就正(zheng)是股權(quan)(quan)激(ji)(ji)勵的(de)黃金時(shi)期。
哈(ha)哈(ha),勇姐在這里(li)用了一個(ge)“黃金時期”。因為(wei)再往后(hou)面發展,企(qi)業可能就會引進(jin)資本,引進(jin)風投(tou),企(qi)業估(gu)值就會持(chi)續走(zou)高(gao),所以讓企(qi)業員(yuan)工在一個(ge)相對估(gu)值較低的時候進(jin)來(lai),員(yuan)工會倍加(jia)珍惜。
到(dao)這(zhe)里,我們也(ye)把前面說的那個案例(li)揭曉一下:作為傳統行業(ye),十年如(ru)一日沒(mei)有什么變化的企業(ye),如(ru)果老(lao)板(ban)想進行股權激勵(li),首先老(lao)板(ban)要(yao)有胸懷(huai),如(ru)果做不(bu)到(dao)這(zhe)些,不(bu)如(ru)通過績效考(kao)核來達到(dao)股權激勵(li)想要(yao)的效果。
